Prepare and close lending documents. Commercial and consumer financing; asset based lending; tax leasing; negotiating and closing complex financing transactions; restructure and secure debt of troubled debtors. Negotiate and document equipment financing transactions in various industries, including manufacturing, retail and publishing companies.

Negotiate and draft complex leverage buyouts, asset based revolving loans, planned unit development and commercial real estate construction loans, tax leases of aircraft, vessels and construction equipment, joint ventures, and acquisitions of companies and financial portfolios, financing of accounts receivable; inventory, plant and equipment.

Negotiate and prepare contracts and leases; financing of commercial and residential properties; mortgage foreclosure and loan workouts; advise on and resolution of environmental disclosure and liability issues; provide representation before administrative agencies in connection with remediation and removal of hazardous substances.

Structure and securitize various asset portfolios including mortgages, tax liens and credit; drafting surety interests and advise on their enforcement.

Represent clients in Chapter 11 reorganizations, restructuring, workout, foreclosure and resale of commercial and residential property.

Advise on compliance with banking regulations, including Truth-in-Lending and other consumer protection laws, and compliance with environmental protections laws with respect to their real estate portfolios.
